Terms of Service

1. Who we are

Userintly is operated by [ENTITY NAME], [REGISTERED ADDRESS] (“Userintly,” “we,” “us,” or “our”). These Terms govern your use of the Userintly software and services available at userintly.com.

2. Governing law

These Terms are governed by and construed in accordance with the laws of [Delaware / England and Wales, to be confirmed on entity incorporation], without regard to conflict of law principles.

3. Subscription terms

Userintly offers subscription plans (Scout, Signal, Command, Agency) billed monthly in USD. By subscribing, you authorise recurring charges to your payment method via Stripe. All prices are shown in USD. You may cancel at any time from your billing settings; access continues until the end of the current billing period.

Launch pricing lock. Accounts created during the launch period lock in their plan price for 12 months from the subscription start date. We will not raise your price within that 12-month window.

4. Free plan

The Scout plan is free forever. No payment information is required to use it. We may add limitations to the free plan with 30 days' notice.

5. One-time report

The Full Demand Report is a one-time purchase. It is refundable before delivery begins and non-refundable once delivered. See our Refund Policy for details.

6. Acceptable use

You may not use Userintly to: (a) violate any applicable law; (b) infringe the intellectual property rights of any third party; (c) transmit malicious code or attempt to gain unauthorised access to our systems; (d) resell or redistribute our outputs without permission; or (e) misrepresent the source of demand data or present it as your own independent research.

7. Intellectual property

Userintly grants you a limited, non-exclusive licence to use the platform and its outputs for your internal business purposes. The underlying software, data models, and algorithms remain our property.

8. Disclaimer and liability cap

Userintly provides demand intelligence data as a planning tool. We do not guarantee campaign outcomes, search rankings, or revenue. The software is provided “as is.” To the maximum extent permitted by law, our total liability to you in any 12-month period is capped at the fees you paid us during that period.

9. Termination

Either party may terminate at any time. We may suspend or terminate accounts that violate these Terms immediately and without notice.

10. Changes

We may update these Terms. We will notify you by email and in-app notice at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.
